These Terms of Use ("Terms") govern your access to and use of the website propmotionai.pro (the "Site") operated by PropMotion AI Inc. ("PropMotion AI", "we", "us", "our"), a proptech market intelligence studio based in Toronto, Ontario, Canada. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. About PropMotion AI

PropMotion AI Inc. provides professional proptech and real-estate data consulting, analytics, modelling and software-workflow services for client organizations, including automated valuation models (AVMs), comparative market analysis, market and portfolio analytics, price forecasting, lead scoring and related delivery. We are a real-estate AI consultancy — not a licensed real-estate brokerage, agent or property manager, not a mortgage lender or broker, and not a property listings portal or marketplace.

For clarity regarding our brand: "Prop" means property and real estate, not a film or theatre prop and not a betting proposition. "Motion" means market and deal momentum and velocity in real estate, not video, animation or marketing motion graphics. The .pro top-level domain is branding only. Nothing on the Site constitutes an offer to buy or sell real property or securities.

2. No professional advice

Content on the Site is provided for general information about our studio services. It does not constitute financial, investment, tax, legal or real-estate brokerage advice. Automated valuation models, forecasts, market analytics and other AI-assisted outputs discussed on the Site or delivered under contract are estimates that can be inaccurate, out of date or biased. They require human review and professional judgement before any decision. We do not guarantee any valuation, sale price, rent, return, timeline or business outcome.

You should consult qualified professionals — licensed appraisers, lawyers, accountants, brokers or financial advisers — before making decisions based on analytics or information referenced on the Site.

3. Estimates, case studies and metrics

Any case studies, metrics, timelines or performance figures displayed on the Site describe illustrative or past engagements unless explicitly stated otherwise in a signed agreement. They are not promises of future performance. Results depend on data quality, market conditions, configuration, integration scope and how outputs are used by client organizations.

4. Fair-housing and human rights

Analytics systems that could affect access to housing or related opportunities must comply with fair-housing and human-rights law. We design services with model bias and fairness checks and human-in-the-loop review where appropriate. We do not support discriminatory automated decisions. Clients remain responsible for lawful deployment and use of outputs in their operations.

5. Acceptable use

You agree not to:

  • Use the Site for unlawful purposes or in violation of applicable Canadian or local laws;
  • Attempt unauthorized access to our systems, networks or data;
  • Scrape, harvest or automate access to the Site in a manner that imposes unreasonable load or bypasses security controls;
  • Transmit malware, spam or harmful code;
  • Misrepresent your affiliation with PropMotion AI or imply endorsement without written consent;
  • Use Site content to suggest we guarantee valuations, returns or sale timelines.

6. Intellectual property

The Site and its content — including text, graphics, logos, design elements and software — are owned by PropMotion AI Inc. or our licensors and protected by intellectual property laws. You may view and print pages for personal, non-commercial reference. You may not reproduce, distribute, modify or create derivative works without our prior written consent, except as permitted by law.

Client-specific deliverables, models and dashboards are governed by separate contractual licence terms. Nothing in these Terms transfers ownership of client data to PropMotion AI.

7. Third-party links

The Site may contain links to third-party websites or resources. We provide links for convenience only and do not endorse or assume responsibility for third-party content, privacy practices or availability. Your use of third-party sites is at your own risk and subject to their terms.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge that you have read our Privacy Policy.

9. Service engagements

Professional services are provided only under a written proposal, statement of work or master services agreement that supersedes conflicting Site content regarding scope, fees, deliverables, intellectual property, confidentiality, data processing and limitations of liability. Enquiry through the Site does not create a client relationship until both parties execute applicable contract documents.

10. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPMOTION AI INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (C$100), EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnity

You agree to indemnify and hold harmless PropMotion AI Inc. from claims, damages, losses and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Site or infringement of third-party rights, except to the extent caused by our gross negligence or wilful misconduct. This indemnity survives termination of your access to the Site to the extent permitted by law.

13. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization or sale of substantially all assets, provided the assignee agrees to honour these Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for disputes arising from these Terms or the Site, subject to mandatory consumer protection rules that may apply in your province of residence.

15. Changes

We may modify these Terms at any time by posting updated Terms on the Site with a revised "Last updated" date. Continued use after changes constitutes acceptance of the modified Terms. If you disagree with changes, discontinue use of the Site.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

17. Entire agreement for Site use

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and PropMotion AI Inc. regarding use of the Site and supersede prior oral or written understandings on that subject. No waiver of any provision is effective unless in writing signed by PropMotion AI. Failure to enforce a provision is not a waiver of future enforcement.
